If you received a profit-sharing and/or incentive bonus this year, you had the opportunity to use it to subscribe to Link 2024.

This year, the minimum guaranteed return is 3% per year. 

In addition to the 25% limit, this year’s investment in Link Multiple is limited to €1,000 (or the equivalent in your local currency). Do not hesitate to use the simulator to check that you are within the applicable limits before subscribing. 

 

  • All employees (or persons belonging to a category of persons eligible to join the PEG under Article L. 3332-2 of the French Labor Code) with an employment contract as of September 30, 2024 with a company that is a member of the ENGIE PEG, and with at least three months' seniority as of that date, whether consecutive or not, since January 1, 2023.

  • All employees working in departments shared by (1) GRDF SA and ENEDIS SA or (2) EDF SA and ENGIE SA, and whose gas allocation key for the unit to which they belong is non-zero.

  • All retirees of companies participating in the PEG ENGIE who still have assets in the PEG on September 30, 2024. Retirees do not benefit from the matching contribution under the Link Classique formula.

Yes, an employee on a fixed-term contract can take part providing he/she is on the payroll of one of the companies participating in Link on 30 September 2024 and has 3 months’ service as of this date. 

These 3 months’ service may be acquired over the period 1 January 2023 to the last day of the cancellation period (scheduled for 30 September 2024) in the event of multiple employment contracts or working in several Group companies. 

No, those taking part in the VIE programme don’t have an employment contract with an ENGIE Group company and cannot invest in the transaction. 

Yes, an expatriate/impatriate can subscribe to the offer in his/her host country, where he/she is resident for tax purposes.   

If his/her host country does not participate in Link, he/she may invest in the transaction in the plan rolled out in connection with the PEG or PEGI in his/her home country, provided that he/she still has an employment contract with the employer who is a member of the PEG or PEGI, even if this contract is suspended or he/she has received no salary from this employer (in this case, he/she must confirm the applicable tax and social security arrangements).  

In this case, the limit on payments into the PEG or PEGI plan is set by French law: it is equal to 25% of the annual social security limit for 2024. For information, the annual social security limit for 2024 is €46,368 (thus 25% of the annual social security limit for 2024 = €11,592).

However, if the expatriate/impatriate has the status of a “US person”, he may not subscribe to FCPE units within the framework of this operation. 

Yes, if they have an employment contract with a Group entity in France, they subscribe to the offer deployed in France.

No, it's not enough to have worked for the Group for more than 3 months: the work must have been carried out with employee status, and the person must have retained employee status with a company belonging to the PEG ENGIE on September 30, 2024.

If you were hired following an internship lasting more than two months, the duration of this internship is taken into account when calculating your seniority.

No, employees who leave the Group during the reservation period (including those who have pre-allocated all or part of their profit-sharing/participation to Link) cannot participate in Link, because to participate you must be an employee of a company that is a member of the PEG ENGIE at the end of the revocation period, i.e. September 30, 2024.

No, as they must be on the payroll of a company that is a member of the PEG ENGIE on September 30, 2024, unless the employee becomes pre-retired or retired during this period and already has assets in the PEG on September 30, 2024. In this case, the early retiree or pensioner will not benefit from the employer contribution.

Yes, employees in notice period can participate in Link, provided they are still employed by a PEG ENGIE member company on September 30, 2024 and meet the 3-month seniority requirement.

Yes, because the offer is made to each employee individually.

Your personal contribution is at least €10 for each formula you choose.

Your total voluntary contributions to all employee savings plans (Plan d'Epargne d'Entreprise (PEE), Plan d'Epargne Inter-Entreprise (PEI), Plan d'Epargne Groupe (PEG)), with the exception of group company retirement savings plans (PERCOL), must not exceed 25% of your gross annual remuneration in 2024 (including bonuses, etc.).

In addition, under the Link Multiple formula, the amount of your personal contribution is limited to €1,000.

They are defined by French law (article R. 3324-22 of the Labor Code) and are 13 in number (as of January 1, 2024 - any other case set by regulation at a later date will automatically apply):

  • Marriage or conclusion of a Pacte Civil de Solidarité (PACS) ;
  • Birth or adoption of a third or subsequent child;
  • Divorce, separation or dissolution of a civil solidarity pact (PACS), where an agreement or judgment provides for the habitual residence in the employee's household of at least one child (sole or shared custody);
  • Disability of the employee, his/her children, spouse or PACS partner;
  • Termination of employment contract or corporate mandate;
  • Creation or takeover of a business, under certain conditions, by the employee, his/her spouse or PACS partner, or his/her children;

Yes, it does in certain cases.

There is no time limit for requests relating to termination of employment, disability, death, overindebtedness or domestic violence. However, in the event of the employee's death, if the request is not submitted within 6 months of the date of death, unlocking remains possible, but the beneficiaries lose the benefit of the preferential tax regime.

In all other cases, the request must be made within 6 months of the event. You can find documentation on early unlocking at www.egepargne.com.

For Link 2024 to be unlocked, the triggering event must occur on the day following the end of the revocation period.

Yes, it is possible to request the release of all or part of the assets.

However, a reason for unblocking can only be invoked once: if you unblock only part of your assets in one case of early unblocking, the remainder remains blocked until maturity, unless you are concerned by another case of early unblocking.

Yes, but a special procedure will be put in place. Any event occurring from the day after the close of the revocation period (i.e. from October 1, 2024) may allow the early release of assets resulting from participation in the operation, but requests for early release will be put on hold and processed only after the operation has been completed, after November 7, 2024.

When you participate in “Link”, you become a shareholder through a company mutual fund (FCPE) in which you receive shares. It is the Supervisory Board of the LINK France fund that exercises the voting rights attached to the ENGIE shares held in the fund.

After holding Link 2024 shares for two years, the FCPE will benefit from double voting rights on these shares.

The FCPE Link France Supervisory Board is made up of 10 employee unitholder members, representing current and former employee unitholders, elected from among all unitholders, and 10 Company representatives appointed by ENGIE management.

In all cases, the number of Company representatives shall not exceed the number of unitholder representatives.

It meets at least once a year and is responsible for :

  • take important decisions concerning the life of the fund (decide on amendments to the FCPE's regulations, authorize mergers and spin-offs, etc.),
  • examine the management report and the fund's annual financial statements, and monitor and control the fund's financial management (investment policy, performance monitoring), administration and accounting,
  • exercise the voting rights attached to the equity securities held in the fund's portfolio,
  • defend the interests of unitholders.
